Review and accept the
Data License Agreement

This Data License Agreement ("Agreement") is entered into between Axo Health, Inc. ("Axo Health") and the entity or individual accepting this Agreement ("Licensee"). By clicking "I Agree," you agree to be bound by these terms.

1. License Grant

Subject to timely payment of all fees, Axo Health grants you a limited, non-exclusive, non-transferable license to access and query the Data via the API during your Subscription Term, and to use query results internally for your own business operations.

2. Restrictions

You shall not, directly or indirectly:

• Bulk Export. Download, scrape, or systematically retrieve the Data in bulk, or use repeated API calls to reconstruct the full dataset or any substantial portion thereof.
• Redistribute. Resell, sublicense, transfer, or share the Data with any third party.
• Train AI/ML for Resale. Use the Data to train models that are distributed or sold to third parties.
• Compete. Use the Data to create a competing data product or API offering substantially similar health data.
• Circumvent Limits. Use multiple accounts or technical means to bypass API call limits.

3. Ownership

The Data, API, and all intellectual property rights remain the exclusive property of Axo Health. This Agreement grants a license only — no title or ownership is transferred. The Data constitutes trade secrets and proprietary information of Axo Health.

4. Payment Terms

Annual Commitment. You commit to a twelve (12) month Subscription Term, billed monthly via Stripe. All fees are non-refundable. Early cancellation results in liability for 50% of fees due for remaining months. Overage calls are billed at the per-call rate in your tier.

5. Data Freshness & Post-Termination

Query results may be cached for up to thirty (30) days. Within thirty (30) days of termination, you must permanently delete all stored query results and cached Data.

6. Audit Rights

Axo Health may audit your API usage upon ten (10) days' written notice, no more than once per twelve-month period absent cause.

7. Confidentiality

You agree to treat the Data, API documentation, and pricing as confidential and shall not disclose such information to third parties without prior written consent.

8. Healthcare Compliance

You are solely responsible for ensuring your use of the Data complies with all applicable laws including HIPAA and applicable state privacy laws. Contact [email protected] before accessing the API if a Business Associate Agreement is required.

9. Warranties & Disclaimers

THE DATA AND API ARE PROVIDED "AS IS." AXO HEALTH DISCLAIMS ALL WARRANTIES INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND ACCURACY.

10. Limitation of Liability

Axo Health's total liability shall not exceed fees paid in the three (3) months preceding the claim. In no event shall Axo Health be liable for indirect, incidental, or consequential damages.

11. General

This Agreement is governed by the laws of the Commonwealth of Massachusetts. Disputes shall be resolved by binding arbitration under AAA Commercial Rules in Boston, MA. Axo Health may update this Agreement on thirty (30) days' written notice.
